1. Agreement to Terms

Welcome to NativeDoc. These Terms of Service ("Terms") govern your access to and use of the NativeDoc website, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization and represent that you have the authority to do so. In that case, "you" and "your" will refer to that organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

NativeDoc is a PDF management and document processing platform that provides:

  • PDF viewing, editing, and organization tools
  • Document conversion (PDF to/from other formats)
  • PDF merging, splitting, and compression
  • Digital signature and watermarking features
  • AI-powered document analysis, summarization, and translation
  • Study tools including flashcard and quiz generation
  • OCR (Optical Character Recognition) for scanned documents
  • Cloud storage for your documents

3. Account Registration

To access certain features, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 13 years old to create an account. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

  • Upload, process, or share illegal, harmful, or offensive content
  • Process documents containing child exploitation material
  • Use the Service to infringe on intellectual property rights
  • Attempt to bypass security measures or access unauthorized areas
  • Use automated scripts, bots, or scrapers without permission
  • Overload, disrupt, or damage the Service infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Share your account credentials or allow unauthorized access
  • Use AI features to generate spam, misinformation, or harmful content
  • Abuse the AI services by sending excessive requests or prohibited content
  • Resell, redistribute, or commercially exploit the Service without permission
  • Violate any applicable laws, regulations, or third-party rights

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Your Content

Ownership: You retain all rights to the documents and content you upload to NativeDoc ("Your Content"). We do not claim ownership of Your Content.

License Grant: By uploading content to NativeDoc, you grant us a limited, non-exclusive license to:

  • Store your files on our servers
  • Process your files to provide the requested services (compression, conversion, AI analysis, etc.)
  • Send text to AI providers (OpenAI) for AI-powered features you request
  • Create temporary copies as necessary for the Service to function

Responsibility: You are solely responsible for Your Content and represent that:

  • You own or have the necessary rights to upload and process the content
  • Your Content does not violate any laws or third-party rights
  • Your Content does not contain viruses, malware, or harmful code

6. AI-Powered Features

Our Service includes AI-powered features (summarization, translation, analysis, quiz generation, etc.). By using these features, you understand and agree that:

  • Text extracted from your documents is sent to third-party AI providers (OpenAI) for processing
  • AI-generated content may contain errors, inaccuracies, or biases
  • AI outputs are provided "as-is" and should not be relied upon without verification
  • You should not use AI features for critical decisions without human review
  • AI features have usage limits based on your subscription tier
  • We may modify, limit, or discontinue AI features at any time

Important: Do not submit sensitive personal information, confidential business data, or legally privileged content to AI features unless you understand and accept the data processing implications.

7. Subscription and Payments

NativeDoc offers both free and paid subscription tiers:

7.1 Free Tier

Free accounts have access to basic PDF tools with usage limitations. Some features (including most AI tools) require a Pro subscription.

7.2 Pro Subscription

  • Pro subscriptions are billed monthly in advance
  • Payment is processed securely through Stripe
  • Subscriptions auto-renew unless cancelled before the renewal date
  • You can cancel anytime; access continues until the end of the billing period
  • Refunds are subject to our Refund Policy

7.3 Price Changes

We reserve the right to change pricing with at least 30 days' notice. Price changes will apply to subsequent billing periods, not your current subscription.

8. Intellectual Property

Our Property: The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by NativeDoc and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Third-Party Services

The Service integrates with third-party services including:

  • Stripe for payment processing
  • Supabase for authentication and data storage
  • OpenAI for AI-powered features
  • Google for authentication (optional)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services and their actions.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results from AI features will be accurate or reliable
  • Any defects will be corrected
  • The Service will meet your specific requirements

We make no warranties regarding the accuracy, reliability, or completeness of any AI-generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVEDOC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account
  • Damages resulting from reliance on AI-generated content
  • Any damages exceeding the amount you paid us in the past 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless NativeDoc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Content or materials you upload
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

By You: You may terminate your account at any time by contacting support or deleting your account through the settings. Upon termination, your right to use the Service ceases immediately.

By Us: We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms
  • We are required to do so by law
  • We discontinue the Service

Upon termination, provisions that by their nature should survive will remain in effect (including ownership, disclaimers, indemnification, and limitations of liability).

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also send an email notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NativeDoc operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NativeDoc regarding the Service and supersede all prior agreements and understandings.
