1. Agreement to Terms

Welcome to NativeDoc. These Terms of Service ("Terms") govern your access to and use of the NativeDoc website, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization and represent that you have the authority to do so. In that case, "you" and "your" will refer to that organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

NativeDoc is a PDF management and document processing platform that provides:

• PDF viewing, editing, and organization tools
• Document conversion (PDF to/from Word, Excel, and images)
• PDF merging, splitting, compression, and batch processing
• Digital signature, form filling, redaction, and watermarking features
• AI-powered document summarization, analysis, and table extraction
• OCR (Optical Character Recognition) for scanned documents
• Cloud storage for your documents

3. Account Registration

To access certain features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 13 years old to create an account. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5. Your Content

Ownership: You retain all rights to the documents and content you upload to NativeDoc ("Your Content"). We do not claim ownership of Your Content.

License Grant: By uploading content to NativeDoc, you grant us a limited, non-exclusive license to:

• Store your files on our servers, if you choose to save them to your account
• Process your files to provide the tool you requested (compression, conversion, signing, and similar operations)
• Send extracted text to our AI provider (OpenAI) when you use Quick Summary, Deep Analysis, or Table Extractor
• Create temporary copies as necessary for the Service to function

Responsibility: You are solely responsible for Your Content and represent that:

• You own or have the necessary rights to upload and process the content
• Your Content does not violate any laws or third-party rights
• Your Content does not contain viruses, malware, or harmful code

6. AI-Powered Features

Our Service includes a small set of AI-powered features: Quick Summary, Deep Analysis, and Table Extractor. By using these features, you understand and agree that:

• Text extracted from your document is sent to our third-party AI provider (OpenAI) for processing
• AI-generated content may contain errors, inaccuracies, or biases
• AI outputs are provided "as-is" and should not be relied upon without verification
• You should not use AI features for critical decisions without human review
• Quick Summary and Deep Analysis have daily usage limits on the free tier; Table Extractor requires a Pro subscription
• We may modify, limit, or discontinue AI features at any time

7. Subscription and Payments

NativeDoc offers both free and paid subscription tiers:

7.1 Free Tier

Free accounts have access to every PDF tool, subject to a light hourly operation limit and a file-size cap. The Table Extractor and OCR Scanner require a Pro subscription; Quick Summary and Deep Analysis are free with a daily usage limit.

7.2 Pro Subscription

Pro is available in three forms: a one-time Weekly Pass, a recurring Monthly subscription, or a recurring Annual subscription.

• All payments are processed securely through Stripe
• The Weekly Pass is a single, one-time payment that grants unlimited Pro access for 7 days; it does not renew and will not charge you again automatically
• Monthly and Annual subscriptions are billed in advance for the selected interval and automatically renew at the end of each period unless cancelled beforehand
• You can cancel a recurring subscription at any time; access continues until the end of the current billing period
• Refunds are subject to our Refund Policy

7.3 Price Changes

We reserve the right to change pricing with at least 30 days' notice. Price changes will apply to subsequent billing periods, not your current subscription.

8. Intellectual Property

Our Property: The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by NativeDoc and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Third-Party Services

The Service integrates with third-party services including:

• Stripe for payment processing
• Supabase for authentication and data storage
• OpenAI for AI-powered features
• Google or GitHub for sign-in (optional)
• Vercel for hosting

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services and their actions. We do not currently display third-party advertising; if we introduce it in the future, any additional ad-related third parties will be disclosed here and in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results from AI features will be accurate or reliable
• Any defects will be corrected
• The Service will meet your specific requirements

We make no warranties regarding the accuracy, reliability, or completeness of any AI-generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVEDOC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account
• Damages resulting from reliance on AI-generated content
• Any damages exceeding the amount you paid us in the past 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless NativeDoc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content or materials you upload
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

By You: You may terminate your account at any time by contacting support or deleting your account through the settings. Upon termination, your right to use the Service ceases immediately.

By Us: We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service

Upon termination, provisions that by their nature should survive will remain in effect (including ownership, disclaimers, indemnification, and limitations of liability).

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also send an email notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NativeDoc operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NativeDoc regarding the Service and supersede all prior agreements and understandings.
